Please read these terms carefully before using paperclip

Important Notice

paperclip is a lead generation platform only. We do NOT intervene in any agreements, payments, or disputes between Buyers and Professionals. We take zero commission - Professionals keep 100% of their earnings.

1. Introduction & Acceptance

Welcome to paperclip ("we", "us", "our", or the "Platform"). paperclip is a Malaysian-registered company that operates an online lead generation marketplace connecting service seekers ("Buyers" or "Customers") with service providers ("Professionals").

By accessing or using our Platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our services.

These Terms are governed by the laws of Malaysia, including but not limited to the Personal Data Protection Act 2010 (PDPA) as amended by the Personal Data Protection (Amendment) Act 2024, Consumer Protection Act 1999, Electronic Commerce Act 2006, and applicable regulations under the Communications and Multimedia Act 1998.

2. Platform Role & Limitations

IMPORTANT: Please read this section carefully

paperclip is a LEAD GENERATION PLATFORM ONLY. We facilitate connections between Buyers and Professionals but are NOT a party to any agreement, transaction, or service arrangement between them.

We do NOT:

  • Provide, perform, or guarantee any services listed on the Platform
  • Employ, supervise, or control any Professional on the Platform
  • Set prices, negotiate terms, or manage payments for services between Buyers and Professionals
  • Take any commission or percentage from jobs completed between Buyers and Professionals
  • Intervene in any disputes, agreements, or arrangements between Buyers and Professionals
  • Hold, process, or manage any payments for services rendered by Professionals

No Intervention Policy

paperclip does not intervene in any relationship, agreement, negotiation, payment, or dispute between Buyers and Professionals. Once contact information is exchanged, all subsequent interactions, agreements, and payments are solely between the Buyer and Professional. paperclip bears no responsibility for the outcome of these interactions.

Zero Commission Model

Unlike other platforms, paperclip does NOT take any commission from jobs. Professionals keep 100% of what they earn from their work. Professionals only pay for credits to unlock customer contact information - that's it.

3. User Accounts

3.1 Buyer Accounts

  • Buyers can create accounts and submit service requests at no cost.
  • Buyers must verify their phone number before their requests become visible to Professionals.
  • By submitting a request, Buyers consent to their contact information being shared with Professionals who unlock their request using credits.
  • Buyers are solely responsible for evaluating and selecting Professionals, and for all agreements made with Professionals.

3.2 Professional Accounts

  • Professionals must be legally authorized to provide the services they offer in Malaysia.
  • Professionals must have all necessary licenses, permits, and insurance as required by Malaysian law.
  • Professionals are independent contractors, NOT employees or agents of paperclip.
  • Professionals are solely responsible for the quality, legality, and delivery of their services.
  • Professionals must provide accurate business information and maintain professional standards.

4. Credits System & Purchases

4.1 How Credits Work

  • Professionals purchase credits to unlock Buyer contact information (name, phone, email).
  • Once credits are spent to unlock a lead, the contact information is revealed.
  • Credits are the ONLY payment Professionals make to paperclip.
  • We do NOT take any commission, percentage, or fee from jobs completed.

4.2 Credit Pricing

Credit prices are displayed in Malaysian Ringgit (MYR) and are subject to change. Any price changes will be communicated in advance and will not affect credits already purchased.

4.3 Credit Validity

Credits do not expire. Once purchased, credits remain in your account until used.

5. Credit Refund Policy

IMPORTANT: READ CAREFULLY

5.1 No Cash Refunds

paperclip does NOT provide cash refunds for credit purchases under any circumstances. All approved refund requests are processed as credit returns to your account only.

5.2 Eligible for Credit Return

Credit returns may ONLY be approved in the following limited circumstances:

  • Invalid Contact: The phone number or email provided by the Buyer is verifiably incorrect or non-functional
  • Duplicate Charge: System error resulting in the same lead being charged twice
  • Fraudulent Request: The request is demonstrably fake, spam, or created by the same person as the Professional
  • Technical Error: Verified system malfunction that incorrectly deducted credits

5.3 NOT Eligible for Credit Return

Credit returns will NOT be approved for:

  • Customer not responding to contact attempts
  • Customer choosing a different Professional
  • Customer cancelling the project after initial contact
  • Dissatisfaction with lead quality if the contact information was accurate
  • Professional's failure to win the job
  • Professional changing their mind after unlocking a lead
  • Price negotiations not going in Professional's favor
  • Customer's project scope or requirements changing

5.4 Refund Request Process

  • Requests must be submitted within 7 days of unlocking the lead.
  • Requests must include the lead ID and clear evidence supporting the claim.
  • Our team will review requests within 5 business days.
  • Decisions are final and not subject to appeal.
  • Abuse of the refund system may result in account termination.

5.5 Anti-Abuse Measures

We monitor refund request patterns. Professionals who submit excessive or fraudulent refund requests may face account suspension, credit forfeiture, or permanent ban from the Platform.

6. Data Protection & PDPA Compliance

6.1 PDPA Compliance

paperclip complies with the Personal Data Protection Act 2010 (PDPA) of Malaysia as amended by the Personal Data Protection (Amendment) Act 2024. We process personal data lawfully, fairly, and transparently in accordance with the seven Data Protection Principles.

6.2 Data Protection Officer

In compliance with PDPA 2024 amendments, paperclip will appoint a Data Protection Officer by June 2025. For data protection inquiries, contact legal@paperclip.my.

6.3 Data We Collect

  • Account information (name, email, phone number, business details)
  • Service request details submitted by Buyers
  • Transaction records for credit purchases
  • Usage data for platform improvement
  • Device and access logs for security purposes

6.4 Data Sharing

  • Buyer contact information is shared with Professionals who unlock their requests using credits.
  • We do not sell personal data to third parties for marketing purposes.
  • We may share data with payment processors to complete transactions.
  • We may disclose data if required by Malaysian law or court order.

6.5 Data Portability

Under PDPA 2024 amendments, you have the right to request a copy of your personal data in a commonly used format. To exercise this right, contact legal@paperclip.my with your request.

6.6 Data Retention

We retain personal data only for as long as necessary to fulfill the purposes for which it was collected, or as required by Malaysian law. Users may request deletion of their data subject to legal retention requirements.

6.7 Data Breach Notification

In the event of a personal data breach that poses a risk to your rights and freedoms, we will notify affected users and relevant authorities as required by PDPA 2024 amendments.

6.8 Minimal Data Storage

We do not store sensitive personal information beyond what is necessary for platform operation. We do not store payment card details - all payments are processed securely through licensed third-party payment processors.

7. Disclaimers & Limitation of Liability

7.1 Platform Provided "As Is"

paperclip is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee the quality, safety, legality, or availability of services provided by Professionals.

7.2 No Service Guarantee

We do not guarantee that Professionals will respond to requests, that jobs will be completed satisfactorily, or that Buyers will hire any Professional. Users proceed at their own risk.

7.3 Limitation of Liability

To the maximum extent permitted by Malaysian law, paperclip shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

  • Use or inability to use the Platform
  • Any services provided by Professionals
  • Any disputes between Buyers and Professionals
  • Loss of data, profits, or business opportunities
  • Actions or omissions of any user

7.4 Maximum Liability

In no event shall paperclip's total liability exceed the amount of credits purchased by the user in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless paperclip, its founders, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any services you provide or receive through the Platform
  • Any dispute with another user

9. Prohibited Conduct

Users agree NOT to:

  • Provide false, misleading, or fraudulent information
  • Use the Platform for any illegal purpose
  • Harass, abuse, threaten, or discriminate against other users
  • Attempt to circumvent the Platform to avoid credit purchases
  • Scrape, collect, or harvest user data without permission
  • Impersonate others or misrepresent affiliations
  • Spam or send unsolicited communications
  • Manipulate reviews or ratings
  • Share account credentials with others
  • Use automated systems to access the Platform without permission
  • Post obscene, indecent, offensive, or inappropriate content
  • Submit fake, spam, or malicious service requests
  • Use the Platform to conduct illegal activities or solicit illegal services
  • Abuse, exploit, or misuse the Platform in any way

10. Platform Abuse & Legal Consequences

paperclip takes platform integrity seriously. Any abuse of our Platform is subject to immediate action and legal consequences under Malaysian law.

10.1 Zero Tolerance Policy

We have ZERO TOLERANCE for any form of abuse, including but not limited to: obscene or indecent content, fraudulent requests, harassment, spam, illegal activities, or any conduct that violates these Terms or Malaysian law.

10.2 Immediate Actions We Will Take

  • Immediate account suspension or termination without notice
  • Forfeiture of all unused credits without refund
  • Permanent ban from the Platform
  • Preservation of evidence for legal proceedings
  • Report to relevant Malaysian authorities

10.3 Applicable Malaysian Laws

Violations may be prosecuted under the following Malaysian laws:

Communications and Multimedia Act 1998 (CMA) - Section 233

Improper use of network facilities/services including obscene, indecent, false, menacing, or offensive content. Penalty: Fine up to RM50,000, imprisonment up to 1 year, or both.

Computer Crimes Act 1997

Unauthorized access, modification, or misuse of computer systems. Penalty: Fine up to RM150,000, imprisonment up to 10 years, or both.

Personal Data Protection Act 2010 & 2024 Amendment (PDPA)

Unauthorized collection, use, or disclosure of personal data. Penalty: Fine up to RM1,000,000, imprisonment up to 3 years, or both (increased under 2024 amendments).

Penal Code (Act 574)

Criminal offenses including fraud, cheating, harassment, and defamation. Penalties vary by offense.

Defamation Act 1957

Publishing defamatory content about others. Subject to civil and criminal liability.

10.4 Law Enforcement Cooperation

  • paperclip will fully cooperate with Malaysian law enforcement agencies including the Royal Malaysia Police (PDRM), Malaysian Communications and Multimedia Commission (MCMC), and other relevant authorities.
  • We will preserve and provide all relevant data, logs, and evidence as required by law or court order.
  • We may report suspected criminal activity to authorities without prior notice to the user.
  • IP addresses, device information, and activity logs are recorded and may be used as evidence.

10.5 User Liability

Users who violate these Terms or Malaysian law may be held personally liable for all damages, legal fees, and costs incurred by paperclip, other users, or third parties as a result of their actions.

10.6 Reporting Abuse

If you encounter any abuse or violations on our Platform, please report immediately to abuse@paperclip.my. All reports will be investigated and appropriate action taken.

11. Termination

10.1 Termination by paperclip

We may suspend or terminate your account at any time, with or without notice, for violation of these Terms, fraudulent activity, or any reason we deem appropriate. Unused credits may be forfeited upon termination for cause.

10.2 Termination by User

You may close your account at any time through your account settings. Unused credits are non-refundable but may be used before account closure.

12. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of Malaysia.
  • Any disputes shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
  • Before initiating legal proceedings, parties agree to attempt good-faith negotiation for at least 30 days.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or Platform notification at least 14 days before taking effect. Continued use of the Platform after changes constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
